Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Icebreaker mobile application and website (collectively, the "Service"), operated by Icebreaker Holdings LLC ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use Icebreaker. By using the Service, you represent and warrant that you are 18 or older. We reserve the right to immediately terminate accounts of users found to be under 18.

You must be a human individual — corporate accounts, bots, and automated accounts are not permitted.

2. Your Account

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate, current, and complete information during registration and keep your profile truthful.
  • You may not share your account with, or transfer it to, another person.
  • You are responsible for all activity that occurs under your account.
  • Notify us immediately at icebreaker.support@gmail.com if you suspect unauthorised access to your account.

3. Acceptable Use

You agree to use Icebreaker only for lawful purposes and in ways that do not infringe the rights of others. You must not:

  • Impersonate any person or misrepresent your identity or affiliation with any person or entity.
  • Post false, misleading, or fraudulent content, including fake profile photos.
  • Harass, threaten, stalk, or intimidate any other user.
  • Send unsolicited commercial messages ("spam") or solicit other users for commercial purposes.
  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations.
  • Post, share, or transmit content that is sexually explicit, violent, hateful, or otherwise objectionable.
  • Attempt to reverse engineer, decompile, or extract the source code of the app.
  • Use automated scripts, bots, scrapers, or other automated tools to access or interact with the Service.
  • Attempt to circumvent or manipulate the mutual-interest system or any other product feature.
  • Interfere with or disrupt the integrity or performance of the Service or its underlying systems.

4. Content You Submit

You retain ownership of content you submit to Icebreaker (photos, bio, messages). By submitting content, you grant us a limited, non-exclusive, worldwide, royalty-free licence to use, store, display, and reproduce that content solely for the purpose of operating and improving the Service.

You are solely responsible for the content you post. You represent that you have all necessary rights to submit such content and that it does not violate the rights of any third party.

We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion, without prior notice.

5. Verification Requirements

Icebreaker requires users to verify their email address and complete a live selfie check before going live. These requirements exist to maintain community safety and trust. Attempting to circumvent these verification steps — including using photos of others or pre-recorded video — is a serious violation of these Terms and will result in immediate account termination.

6. Credits and In-App Purchases

The Service may include virtual credits or other in-app purchase features ("Purchases"). All Purchases are final and non-refundable, except where required by applicable law. We reserve the right to modify the pricing, availability, and features associated with Purchases at any time.

Credits are non-transferable and have no monetary value outside of the Service. Unused credits may be forfeited upon account termination.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our data practices.

8. Third-Party Services

The Service uses third-party services including Firebase (Google) for authentication and data storage. Your use of the Service may be subject to the terms and privacy policies of these third parties. We are not responsible for their practices.

9. Termination

We may suspend or permanently terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. If you wish to delete your account, you may do so from within the app's settings. Upon termination, your right to use the Service ceases immediately.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

ICEBREAKER IS NOT RESPONSIBLE FOR THE CONDUCT OF ANY USER — ONLINE OR OFFLINE. WE DO NOT PERFORM CRIMINAL BACKGROUND CHECKS ON USERS. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ICEBREAKER AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Icebreaker and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Wyoming, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide at least 7 days' notice via in-app notification or email before the new terms take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.
